Terms of Service

1. Acceptance of Terms
By accessing or using the Notive platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Notive Health ("Company", "we", "us") reserves the right to update these Terms at any time.
2. Description of Service
Notive is a self-hosted electronic health record (EHR) and practice management platform designed for outpatient clinics, direct primary care (DPC) practices, and similar healthcare organizations. The Service includes clinical documentation, scheduling, e-prescribing, telehealth, patient portal, AI-powered clinical tools, and related features.
3. Eligibility
The Service is intended for use by licensed healthcare professionals and authorized staff members operating within a healthcare organization. You must be at least 18 years old and legally authorized to enter into a binding agreement to use the Service.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your credentials.
5. HIPAA Compliance
Notive is designed to support HIPAA-compliant workflows. A Business Associate Agreement (BAA) is available for covered entities and their business associates. It is your responsibility to ensure your use of the Service complies with all applicable healthcare regulations, including HIPAA, state privacy laws, and any other relevant requirements.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) transmit any malicious code; (c) attempt to gain unauthorized access to any part of the Service; (d) use the Service in a manner that could damage, disable, or impair the Service; (e) share account credentials with unauthorized individuals; or (f) use the AI features for purposes outside of clinical documentation and decision support.
7. Payment Terms
Paid plans are billed monthly or annually as selected at the time of subscription. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Core team seats are billed per active staff member per month. The free Starter tier has no payment obligation.
8. Data Ownership
You retain all ownership rights to your data, including patient health information (PHI). Notive does not claim any ownership over your data. Upon termination of your account, we will provide reasonable assistance to export your data. Self-hosted deployments store all data on your own infrastructure.
9. AI Features Disclaimer
AI-generated content, including clinical scribe drafts, note summaries, and clinical assistant responses, is provided as decision support and does not constitute medical advice. All AI-generated clinical documentation must be reviewed and approved by a licensed clinician before becoming part of the medical record. The clinician signing the note bears full responsibility for its accuracy and completeness.
10. Limitation of Liability
To the maximum extent permitted by law, Notive Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability shall not exceed the amount paid by you to us during the twelve months preceding the claim.
11. Termination
Either party may terminate the agreement at any time. Upon termination, your access to paid features will cease at the end of the current billing period. Your data will remain available for export for 90 days following termination, after which it may be deleted.
